Allen Moreland is a partner at Berger Singerman who is part of our Business Reorganization and Business, Finance and Tax teams. Allen is a highly accomplished lawyer with over 30 years of law experience advising on a wide range of highly sophisticated, cross-border Latin American and Caribbean financing and corporate transactions.
Allen concentrates his work on providing legal counsel on cross-border bonds, structured finance transactions (including future-flow receivables and pre-export transactions), and all types of lending transactions. Additionally, Moreland advises on mergers and acquisitions and private equity transactions. Allen has over 10 years of experience practicing law in Brazil where he is a naturalized Brazilian who speaks fluent Portuguese.
Some of Allen’s career accomplishments include structuring and negotiating export receivables securitizations in excess of $1 billion involving the Brazilian steel industry; advising a Brazilian upstream oil and gas company on the institution of Chapter 15 proceedings in New York requiring the restructuring of $48 million of global notes; representing a major Brazilian aircraft manufacturer in a $100 million monetization of an aircraft sale agreement; helping an investment bank in Brazil to domesticate and execute a Brazilian final judgment in Florida worth over $30 million; and representing the purchasers/borrowers in a leveraged buyout worth $370 million involving security located in 16 separate Caribbean jurisdictions.
In addition to being fluent in Portuguese, Allen speaks fluent German and is proficient in Spanish.

- Represented the pledgor in a $210 million senior bank/second lien note financing.
- Represented the borrower in an approximately $26 million mezzanine acquisition financing.
- Representing the American owners of a Brazilian cell phone tower company in the execution of collateral on a defaulted loan and an investigation into massive fraudulent conveyances.
- Represented, in the original round of financing, the founder an app that provides its subscribers with risk and security analysis in real time wherever they are located.
- Represented Lupatech S.A. (a Brazilian manufacturer of valves for the oil industry) in a debt restructuring pursuant to Chapter 15 involving the exchange of $48 million of debt obligations for a combination of notes and warrants to purchase common shares of the company’s stock that trade on Brazil’s B3 stock exchange.
- Represented the borrower under a secured, $30 million credit agreement.
- Represented a Mexican cell phone distributor in the renegotiation of its joint venture with a US cell phone distributor and the negotiation of the Settlement Agreement that resulted in the termination of the litigation between the two parties before the Southern District of Florida.
- Represented the borrower in the renegotiation of a mezzanine acquisition financing where the senior lender and the junior lender made a combined loan of $150 million.
- Represented a Brazilian corporate education company in a private equity transaction where 40% of the company was purchased by a German publishing company and two international development banks.
- Represented a Salvadoran retailer in an acquisition lending transaction involving the acquisition of the Caribbean operations of a British retailer where collateral for the loan needed to be perfected in 16 Caribbean jurisdictions.
- Represented the Interamerican Development Bank in the establishment of the first warehouse lending facility secured by real-denominated Brazilian mortgages.
- Represented two European development banks in a financing for a Peruvian bank involving the securitization of MT 100 remittances from Peruvians living in the US.
- Represented The Government of Belize in five separate sovereign bond transactions totaling approximately $500 million.
- Represented a Brazilian steel manufacturer in 3 separate future export receivables securitizations.
- Represented numerous Brazilian manufacturers, retailers and financial institutions in Euro and Global Bond issuances.
