Clay Roberts is a partner on Berger Singerman’s Business Reorganization Team. Clay focuses his practice on commercial bankruptcy and restructuring matters, insolvency-related disputes, workouts, and distressed M&A. Clay serves as counsel to debtors, creditor committees, lenders, investors, bondholders, and asset purchasers in complex Chapter 11 cases. Clay also has experience in corporate transactions and mergers & acquisitions. He currently serves as the Co-Chair for the Chapter 11 Subcommittee in the American Bar Association's Business Law Section.
- Counsel to Bird Global, Inc. and certain of its affiliates in their Chapter 11 cases pursuant to which Bird, a leading international micromobility company, sold substantially all assets and resolved its legacy liabilities through a Chapter 11 plan of liquidation.
- Counsel to Clinical Care Medical Centers, an independent primary care and integrated physician group, in its Chapter 11 cases pursuant to which it sold substantially all assets to Conviva Medical Center Management, LLC.
- Counsel to Vital Pharmaceuticals, Inc., the maker of Bang Energy drinks, together with its affiliates in their Chapter 11 cases pursuant to which it completed a sale of substantially all assets to Monster Beverage Corporation.
- Counsel to a family investment office in a chapter 15 bankruptcy case with the foreign main proceeding pending in Brazil.
- Counsel to an international bank, as administrative agent, under a $2.8 billion credit facility with Mallinckrodt plc, a global pharmaceutical company and its affiliates.
- Counsel to an ad hoc group of holders of $475 million of unsecured bonds in the Chapter 11 restructuring of iHeartMedia, the largest owner and operator of radio stations in the United States.
- Counsel to the seller in a $78 million sale of a privately-held wholesale supply business that specializes in the distribution of replacement OEM and after-market keyless entry remotes, keys, and hardware to a portfolio company of a private equity firm.
- Counsel to an investment management firm in the out-of-court restructuring of Affinion Group Holdings, Inc., a leading customer engagement and loyalty marketing company.
- Counsel to a leading international provider of airport ground services and air cargo handling, on its comprehensive restructuring and recapitalization, resulting in a de-levered and strengthened balance sheet.
- Counsel to a global asset management firm, the largest holder of second lien notes, in the Chapter 11 restructuring of Claire’s Stores, Inc.
- Counsel to an ad hoc group of consenting cross-over holders of unsecured bonds and secured term loans in the Chapter 11 restructuring of Acosta, Inc.
- Counsel to an energy company in its $9.45 billion all-cash acquisition of Energy Future Holdings Corp., resulting in the creation of the largest utility holding company in the United States.
