Keith Blum is a Partner and member of the firm’s Business, Finance & Tax Team, resident in its Miami office. Keith advises clients on a wide range of tax, transactional, business and private wealth matters. These representations involve counseling of corporate, private wealth and other clients in tax and non-tax aspects of transactions, investments and other planning matters. Keith’s practice includes: structuring and negotiating complex taxable and tax-free mergers and acquisitions; family office formations, operations and transactions; business organizations and operations; restructurings; equity financings; fund formations, operations and transactions; joint ventures; and other strategic alliances. His practice further includes tax-exempt entity formation, operations, and governance. Keith also supports litigators in matters relating to tax, accounting, auditing, and corporate governance, and has participated in a number of high profile corporate forensic investigations.

- Counseled South Florida premier shopping mall owner & operator in joint venture with two international shopping mall developers and operators in connection with the development of a large high-end retail mall in downtown Miami.
- Launched new family offices for several high-net-worth individuals in the global entertainment and corporate areas, designing tax-optimal structures to accommodate changing circumstances.
- Advised the private equity group of a Wall Street investment bank on the tax and non-tax aspects of the acquisition of an interest in a joint venture between several sports teams for the provision of sports related services and concessions.
- Advised cannabis logistics operator on tax planning in respect of its development and operation of its cannabis distribution and logistics business and its ultimate sale.
- Advised movie and television production company owned by two legendary producers/director in its restructuring.
- Advised $20 billion private equity fund in various fund formations, seeding transactions, portfolio company acquisitions/divestures and other transactional matters.
- Advised a large tax-exempt professional society in connection with its merger with another similar tax-exempt professional society to create the United States’ largest professional society in such industry.
- Advised group of broker-dealers in connection with their acquisition in an investment advisor roll-up transaction.
- Advised a variety of investment companies in the sale of portfolio companies to financial and strategic buyers.
