Mark is a partner on Berger Singerman’s Business, Finance & Tax team in Fort Lauderdale. He is both a tax lawyer and a corporate transactional lawyer, bringing an integrated perspective that enhances the quality and efficiency of his advice in both disciplines. He represents high‑net‑worth individuals and businesses in federal tax and business planning, including the formation and use of closely held entities, tax planning for loan modifications and workouts, wealth transfer strategies, private equity transactions, and the formation and governance of not‑for‑profit organizations (private foundations and public charities), as well as charitable giving matters.
As a transactional tax and corporate lawyer, Mark delivers practical, client‑focused counsel that aligns tax efficiency with business objectives including without limitation in respect to: (i) executive compensation (cash‑based and equity plans, nonqualified deferred compensation, change‑in‑control and severance arrangements, and executive employment agreements); (ii) pre‑transaction planning; (iii) choice of entity; (iv) mergers and acquisitions; and (v) private equity fund formation.
Mark has significant experience drafting limited liability company and partnership agreements for joint ventures acquiring multifamily/apartments, condominium projects, shopping centers, office buildings, and hotels, and in drafting cash‑based and equity compensation plans. His dual expertise allows him to anticipate intersecting tax and deal issues, streamline execution, mitigate risk, and deliver superior outcomes for clients.
