Iryna Ivashchuk is a partner of the firm’s Business, Finance and Tax team. Iryna focuses her practice on complex commercial real estate and financing matters and general corporate transactions, assisting clients in domestic and cross-border deals. She has counseled clients in a variety of industries, markets and business cycles.
In the real estate area, Iryna represents clients from around the world on acquisitions and dispositions of all types of commercial real estate and personal property, real estate and other asset-based financings, leasing of real and personal property, and real estate development, including creation, structuring and operation of condominiums and planned residential and mixed-use projects.
Iryna’s corporate transactional experience includes mergers, acquisitions, joint ventures, equity, and debt financing transactions involving public and private companies.
Iryna is fluent in Ukrainian and Russian and has a working knowledge of Spanish. She has established working relationships with law firms in many foreign jurisdictions in Europe and Latin America.

Acquisitions and Dispositions
- Represented an investment and management company, focused on acquiring existing commercial real estate across the United States, in structuring and executing the acquisitions of real estate across the U.S. (via joint ventures) with a total project value of over $200 million.
- Represented a real estate investment firm in connection with its sale of a condominium hotel within an ocean front mixed-use development in Clearwater Beach, Florida for the sale price of approximately $120 million.
- Represented a land owner in the negotiation and sale of 3,700 continuous acres in Palm Beach County, Florida.
- Represented an investment and property management firm in its acquisition of the condominium building in Tampa, Florida for the purchase price of over $40 million.
- Represented a private commercial bank in its sale of land with two landmark downtown Miami buildings to an investment, management and leasing firm for approximately $24.6 million.
- Represented a real estate development and construction company in its sale of the 160,000-square-foot Coral Landings III retail plaza in Coral Springs, Florida for $33.7 million.
- Represented a development company in connection with the acquisition of a five-building office park located in West Palm Beach, Florida from General Electric Credit Corp. and financed by the CMBS lender.
- Represented a national multi-family owner/operator in disposition of portfolio of apartment complexes, valued in excess of $100 million, in its Chapter 11 proceeding.
Development
- Represented Royal Caribbean Cruises Ltd. and its affiliates in connection with the creation, development and implementation of a new cruise port in Falmouth, Jamaica, valued at over $200 million.
- Represented national and regional real estate developers, including Stiles Corporation and Minto Communities, in matters concerning the acquisition, development, construction and operation of small- and large-scale residential and mixed-use condominium and planned developments, including drafting and customizing condominium and homeowners association documents.
Financing and Debt Restructuring
- Represented a real estate fund in connection with a loan, secured by the fund’s participation interests (having a face value of approximately $100 million) in a $141 million mortgage loan, involving twenty-five participants, secured by a Florida-based resort hotel.
- Represented an owner of a resort property located in Central America in connection with the modification of its existing financing arrangements.
- Represented a real estate developer in connection with the ownership and loan restructuring of a mountain estate residential fly-in fly-out community (with the project value of over $25 million).
- Represented a closely held multi-state real estate sales and development enterprise in a $500 million out-of-court debt restructuring.
- Represented a REIT in connection with refinancing of several multi-property portfolios (portfolio average of $20-30 million each).
Leasing
- Represented a publicly-traded company in connection with the office leasing matter.
- Represented an embassy of a foreign country in the U.S. in connection with the modification of its office lease.
- Represented a hospitality entrepreneur in connection with the negotiation of a restaurant lease in the Miami’s Design District.
- Represented a real estate investment management group in connection with the negotiation of retail leases in a 179,000-square-foot retail center located in Coral Springs, Florida.
Corporate
Mergers and Acquisitions
- Represented the owner of a 1,400-acre luxury master development in Central America with respect to the sale of a majority interest in the development.
- Represented a New York Stock Exchange listed public company (at the time of the engagement ranked in top fifteen on the Fortune 500 list) in connection with its acquisition, via a merger, of a NASDAQ-listed public company based in Florida for approximately $2 billion.
- Represented a publicly-held corporation with its shares listed on the New York Stock Exchange in connection with its acquisition, via a merger, of a publicly-held Florida-based financial services and broker-dealer holding company for approximately $49 million.
Financing
- Represented a global air cargo carrier in complex aircraft lease, sublease, and flight services agreement restructuring involving four Boeing 777F cargo planes (valued at over $700 million) and the modification of its existing asset-based financing arrangements.
- Represented a tax lien investment company in connection with several modifications of its loans in the total original principal amount of over $100 million (secured by tax liens).
